1. Definitions

• “Affiliate” refers to any individual or entity accepted into the Medreception.ai Affiliate Program.
• “Company”, “we”, “us” means Medreception.ai.
• “Qualified Referral” is defined as a customer who makes a purchase using an affiliate link and meets the program criteria.

2. Affiliate Enrollment

• Affiliates must submit accurate applications through the Medreception.ai website.
• Acceptance is at Medreception.ai’s sole discretion and may be revoked for any reason.
• Affiliates must be legally eligible to participate and residents of the United States unless otherwise approved.

3. Independent Contractor Status

• Affiliates are independent contractors and not employees, agents, or partners of Medreception.ai.
• Affiliates are responsible for their own expenses, federal/state income taxes, and legal compliance.

4. FTC Compliance & Marketing Guidelines

• All promotional content must comply with FTC Endorsement Guidelines. Affiliates must clearly and conspicuously disclose their affiliate relationship on each page, post, or asset containing affiliate links (e.g., using “#ad” or “affiliate link”).
• Do not use misleading, deceptive, or unsubstantiated marketing practices.
• Only approved assets, banners, and links provided by Medreception.ai may be used. Requests for custom materials must be approved in writing.
• The use of sexually explicit, violent, hateful, unlawful, or discriminatory content is strictly prohibited.

5. Data Privacy & Security

• Affiliates must respect user privacy and comply with US data protection laws (including CCPA for California residents).
• Personal data obtained through affiliate activities must never be shared, sold, or misused.

6. Copyrights, Trademarks & Use of Intellectual Property

• Affiliates may use Medreception.ai assets only as permitted, and may not alter, misrepresent, or claim ownership of Medreception.ai content.
• Unauthorized use or distribution of company intellectual property is grounds for termination and legal action.

7. Commission, Payment Structure & Taxes

• Commissions are earned on net sales (excluding refunds, chargebacks, cancellations, or fraudulent transactions).
• Commission rates, payout thresholds (e.g., $50 minimum), cookie duration (e.g., 30 days), payment methods (e.g., PayPal, ACH), and schedule (e.g., monthly by the 15th) are specified in the Affiliate Dashboard.
• Self-referrals are prohibited unless specifically permitted.
• US affiliates must submit a properly completed W-9 form for tax reporting before receiving payments.
• Medreception.ai reserves the right to withhold commissions for suspected fraud or policy violations.

8. Termination & Modification

• Medreception.ai may terminate the affiliate agreement at any time for breach of terms, inactivity, poor conduct, or any reason deemed appropriate.
• Affiliates may terminate their account by written notice.
• Program terms and commission rates may be modified at any time with advance notice. Continued participation indicates acceptance of revised terms.

9. Indemnification & Liability

• Affiliates agree to indemnify and hold Medreception.ai harmless from any claims, damages, or liabilities arising from their promotional activities, content, or unlawful practices.
• Medreception.ai disclaims liability for indirect, incidental, or consequential damages.

10. Dispute Resolution & Governing Law

Any disputes will be resolved under the laws of the State of [Insert State] and, if necessary, through binding arbitration.

11. Confidentiality

Affiliates shall not disclose confidential program information or user data to third parties.

12. Agreement & Acknowledgment

By applying and participating in the Medreception.ai Affiliate Program, affiliates acknowledge these terms, agree to comply, and confirm understanding of US compliance requirements.
